If I may, I would like to recommend Visual Sub Sync.
-It features a 'timing mode' that allows you to create subtitles on-the-fly by holding down the space bar.
-Wave display and Video.

I've used this tool for nearly one year.
Along with Subtitle Workshop, it is, in my opinion, an unbeatable Freeware combo!
