Terms and Conditions for ProZ*Pay

Welcome to ProZ*Pay! By accessing or using our payment services (the "Service"), you agree to comply with and be bound by these Terms and Conditions (the "Terms"). If you disagree with any part of the Terms, you may not access the Service.
1. Scope of the Service
1.1 Purpose: The Service is exclusively designed to facilitate payments within the language industry, including but not limited to translators, interpreters, and other linguistic professionals. ProZ*Pay should not be used for payments related to other industries or for personal payments.
1.2 Eligibility: The Service is based in the United States and is available to individuals and entities legally permitted to enter into binding contracts and conduct business in the United States or other permitted jurisdictions.
2. Compliance
2.1 U.S. Regulations: The Service complies with all applicable U.S. laws, including the regulations enforced by the Office of Foreign Assets Control (OFAC). ProZ*Pay cannot be used to send payments to or from individuals or entities located in, or ordinarily resident in, countries subject to comprehensive U.S. sanctions. Availability may vary over time, and the Service reserves the right to change its availability at its own discretion.
2.2 Prohibited Transactions: You agree not to use the Service for any illegal activities or to facilitate transactions involving goods, services, or individuals prohibited under applicable U.S. laws and regulations.
2.3 Compliance Screenings: The Service reserves the right to conduct compliance screenings, request supporting documentation for incoming payments, and prohibit access to the Service if deemed necessary to ensure adherence to these Terms and applicable laws.
3. Fees and Charges
3.1 Convenience Fee: The Service applies an upfront convenience fee, which covers services such as 1:1 support and onboarding, as well as any costs associated with transferring funds to the payee. An additional funding cost fee may be charged, depending on the funding method selected by the payer. This additional fee reflects the cost imposed by the specific funding method.
3.2 Responsibility for Fees: The Payer and the Payee are responsible for agreeing on who will cover the fees.
3.3 Send Cost: While ProZ*Pay covers the send cost (fees associated with sending a payment), it has no control over any additional fees the recipient bank or digital wallet might charge for receiving a payment. It is the payee's responsibility to be informed about the terms and conditions of their chosen bank or digital wallet.
3.4 Changes to Fees: ProZ*Pay reserves the right to modify the fee structure with prior notice, as outlined in Section 8.
4. User Responsibilities
4.1 Funding and Withdrawal Methods: The availability of funding and withdrawal methods varies based on the user's country of residence. Both parties (payers and payees) are responsible for verifying that the methods offered by the Service meet their needs before scheduling any payments.
4.2 Responsibilities of Payers (Senders):

Confirm the legitimacy of the recipient and the purpose of the payment.

Ensure sufficient funds are available to cover the payment amount and any associated fees.

Provide accurate and complete payment information (e.g., amount, notes, who covers the fees) as agreed upon with the payee.
4.3 Responsibilities of Payees (Recipients):

Provide truthful information about their identity and the purpose of the transaction.

Ensure compliance with applicable laws and regulations in their jurisdiction.

Provide accurate and complete details for receiving payments, such as bank account or digital wallet information.
5. Scheduling and Funding Payments
This section refers to the scheduling and funding of payments by the Payer to the Service.
5.1 Scheduling Payments: Individual payments can be scheduled using the "Send a Payment" form. The due date is automatically set to the next day to allow ProZ*Pay time to receive funding and conduct compliance screenings.
5.3 Temporary and Permanent Restriction from the Service
5.3.1 Release of Payments: Payments may be put on hold by the Service beyond the due date if the funds from the payer have not been received.
5.3.2 Outstanding Invoices: Payers with outstanding invoices of more than three months will not be allowed to continue using the Service until pending invoices are settled. Additionally, they may be subject to a non-payment report on their Blue Board record if applicable
5.3.3 Disputed Funding: Certain payment services allow Payers to dispute the funding transactions they send. Payers who dispute a funding after the payment has already been withdrawn by the Payee will not be allowed to continue using the Service. Additionally, they may be subject to a non-payment report on their Blue Board record if applicable.
6. Processing Regular and Early Withdrawal Requests
This section refers to the sending of payments by the Service to the Payee (from now on, 'withdrawals').
6.1 Processing Withdrawals: Withdrawals are sent within one business day of being requested. Withdrawals are processed by the ProZ*Pay team Monday through Friday from 1 PM to 9 PM GMT (9 AM to 5 PM Eastern Standard Time), excluding U.S. holidays.
6.2 Early Withdrawals: Regular ProZ*Pay payers may offer their payees the option to request early withdrawals. This benefit allows payees to access their earnings before the scheduled payday, subject to a moderate fee.
6.3 Processing Early Withdrawals: Early withdrawals are processed in the same manner as regular withdrawals. Note that early withdrawals do not bypass the natural processing times of the payment methods used by payees.
7. Limitations of Liability
7.1 Delayed or Missing Withdrawals: The Service will actively trace (and recall, if needed) any delayed or missing withdrawals. However, the Service is not liable for issues arising from:

Mistakes, misspellings, or typos in the withdrawal information provided.

Issues internal to the payee's withdrawal method, such as policy changes.
7.2 Third-Party Accounts: The Service advises against using other people's bank accounts or digital wallets to receive withdrawals. If a Payee chooses to do so, it is at their own risk, and the Service cannot be held liable for any resulting issues.
7.3 No Involvement in Agreements: The Service is not involved in any agreements between clients and freelancers regarding whether the Service will be used, how much is paid, when the payment is made, or who will cover the fees. Payers and payees are responsible for discussing these matters privately before using the Service.
8. Amendments to the Terms
8.1 Notice: ProZ*Pay reserves the right to modify these Terms at any time. Any changes will be duly communicated to ProZ*Pay users through the Service or via email.
8.2 Continued Use: Continued use of the Service after the effective date of amendments constitutes acceptance of the updated Terms.
